1. Acceptance of Terms

Welcome to Hexel Studio. These Terms of Use (“Terms”) govern your access to and use of the services provided by Hexel Studio (“we,” “us,” or “our”), including our website, AI agent marketplace, APIs, and related tools (collectively, the “Services”).

By creating an account or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization or entity, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these terms. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Hexel Studio provides a platform that allows users to access, deploy, and manage AI agents. Our Services include, but are not limited to:

• An online marketplace for discovering and utilizing AI agents.
• A hosted environment for running agent tasks.
• An API for programmatic access to the Services.
• A Secret Manager tool for you to securely provide credentials that enable agents to interact with third-party services on your behalf.

3. Account Registration and Responsibilities

• Eligibility: You must be at least 13 years old to use the Services. If you are under 18, you must have your parent or legal guardian’s permission to use the Services.
• Account Creation: You must provide accurate and complete information when creating your account.
• Account Security: You are responsible for safeguarding your password and any other credentials used to access your account. You are solely responsible for all activities that occur under your account, whether or not you have authorized them. You must notify us immediately of any unauthorized use of your account.

4. Intellectual Property Rights

We distinguish between our Services and the content you provide or create.

• Our Services: We retain all rights, title, and interest in and to the Services, including our website, AI models, algorithms, and software. You may not copy, modify, or reverse-engineer any part of our Services.
• Your Content: You retain all ownership rights to the information, data, and other content you provide to the Services (“Input”). Subject to these Terms, you also own all rights to the output generated by the Services based on your Input (“Output”).
• Our License to Your Content: To operate and provide the Services, you grant us a worldwide, non-exclusive license to use, host, store, reproduce, and modify your Input and Output solely for the purpose of providing, maintaining, and improving the Services for you.

5. Acceptable Use Policy

You agree not to misuse the Services or help anyone else to do so. You agree not to engage in any of the following prohibited activities:

• Using the Services for any illegal or fraudulent purpose.
• Generating content that is hateful, harassing, abusive, or that infringes on the rights of others.
• Attempting to disrupt, compromise, or test the vulnerability of our systems or security.
• Scraping, data mining, or attempting to extract data from the Services outside of the intended API usage.
• Using the Output from the Services to develop models that compete with Hexel Studio.
• Providing credentials to the Secret Manager that you do not have the legal authority to use or share.

We reserve the right to suspend or terminate your account for any violation of this policy.

6. Fees, Billing, and Payment

• Subscription Plans: We offer both free and paid plans. Paid Services are billed on a subscription basis in advance.
• Usage-Based Billing: Certain plans may include a specific allotment of API calls or other usage metrics. Any usage exceeding this allotment will be billed on a pay-as-you-go basis according to the rates specified in your plan.
• Payment: You agree to provide current, complete, and accurate payment information. We use a third-party payment processor to handle all payments.
• Cancellation: You may cancel your subscription at any time. The cancellation will become effective at the end of your current billing cycle, and you will not be charged for the next cycle. Refunds are not provided for the current billing period except where required by law.

7. Termination

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to the Services, at our sole discretion, for any reason, including for a breach of these Terms, without prior notice or liability. Upon termination, your right to use the Services will immediately cease, and we may delete any content or data associated with your account.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE OUTPUT GENERATED WILL BE ACCURATE OR RELIABLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HEXEL STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY IN ANY MATTER ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify and hold harmless Hexel Studio and its officers, directors, employees, and agents from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Modifications to Terms

We may modify these Terms from time to time. If we make material changes, we will provide you with notice, such as by sending an email or by posting a notice on our Services. Your continued use of the Services after the changes have become effective will constitute your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by the laws of India, without regard to its conflict of law provisions.
