Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of the Hexel Studio platform, websites, APIs, SDKs, and related services (“Services”).

1. Eligibility and Authority

You must be at least 18 years old and authorized to bind your organization. By accessing the Services, you represent that you have such authority.

2. The Services

Hexel provides cloud infrastructure for governed autonomous AI agents, including compute, orchestration, tool execution, data platform, and observability capabilities.

3. Accounts and Access

You are responsible for maintaining the security of account credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Fees, Billing, and Payment

Fees are based on usage as described in the applicable pricing plan. Payment is due as specified. Hexel may suspend access for overdue amounts after reasonable notice.

5. Acceptable Use

You agree not to use the Services to violate laws, infringe rights, distribute malware, attempt unauthorized access, or interfere with platform operations.

6. Intellectual Property

Hexel retains all rights in the Services, documentation, and platform technology. Customer retains all rights in customer data and agent configurations.

7. Third-Party Services

The Services may integrate with third-party providers. Those services are governed by their own terms and Hexel is not responsible for their availability or accuracy.

8. Confidentiality

Each party agrees to protect the other's confidential information with at least the same care it uses for its own, and not less than reasonable care.

9. Security

Hexel implements industry-standard security measures. Customers remain responsible for securing their own credentials, access controls, and agent behaviors.

10. Suspension and Termination

Either party may terminate with 30 days written notice. Hexel may suspend access immediately for material breach, security risk, or non-payment.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” HEXEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

12. Limitation of Liability

HEXEL'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. HEXEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

13. Indemnification

You agree to indemnify Hexel from claims arising from your use of the Services, agent outputs, or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Arbitration

Disputes will be resolved through binding arbitration. You waive the right to participate in class actions. Either party may seek injunctive relief in court.

16. Changes

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be notified via email or platform notice.
