Welcome to the Terms and Conditions (these "Terms") for Hexel Studio, Inc. ("Hexel," "Company," "we," "us," or "our"). These Terms govern your access to and use of Hexel's websites, including https://hexelstudio.com, the Hexel Studio cloud platform, dashboards, APIs, SDKs, agent runtime, developer tools, and all related software, content, features, and services (collectively, the "Services").
These Terms do not govern use of Hexel's APIs or SDKs where separate API or Developer Terms apply, or enterprise customers subject to a separately executed written agreement, in which case such agreement will control in the event of a conflict.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
IMPORTANT NOTICE REGARDING DISPUTES
THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15. PLEASE READ THAT SECTION CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS.
1. Eligibility and Authority
1.1 Business Use Only
The Services are intended solely for business, organizational, and professional use. You may not use the Services for personal, household, or consumer purposes.
1.2 Authority to Bind an Organization
If you use the Services on behalf of an organization, you represent and warrant that:
- You are authorized to bind that organization to these Terms, and
- You agree to these Terms on the organization's behalf.
References to "you" include both you and the organization you represent.
2. The Services
2.1 Description of the Services
Hexel provides a governed Agent Cloud platform that enables organizations to deploy, manage, and operate autonomous or semi-autonomous AI agents within defined policies, permissions, and environments.
Hexel does not provide legal, financial, medical, or other professional advice, and does not act as an agent, fiduciary, or decision-maker for customers.
2.2 Input, Output, and Agent Execution
As part of the Services, you may submit data, instructions, prompts, configurations, or other materials ("Input"). The Services may generate responses, actions, recommendations, or other results based on such Input ("Output").
You acknowledge and agree that:
- Output is generated probabilistically and may be inaccurate, incomplete, or misleading
- Hexel does not guarantee correctness, reliability, or suitability of any Output
- You are solely responsible for reviewing, validating, and approving Output before relying on it
You may not use the Services to generate Output that violates applicable law, intellectual property rights, contractual obligations, or third-party rights.
2.3 Customer Responsibility for Agents
Agents operate based on configurations, permissions, policies, and data defined by you. You are solely responsible for:
- Agent configuration and deployment
- Approval workflows and safeguards
- Actions executed by agents
- Compliance with applicable laws
Hexel does not assume responsibility for agent decisions or actions, even where such actions are automated.
3. Accounts and Access
3.1 Account Creation
Access to certain Services requires an account. You agree to provide accurate, complete, and current information and to keep such information updated.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of credentials
- All activity occurring under your account
- Immediately notifying Hexel of any unauthorized access
Hexel is not liable for losses resulting from compromised credentials.
3.3 Account Restrictions
You may not create an account if you have previously been suspended or terminated, unless expressly authorized in writing by Hexel.
4. Fees, Billing, and Payment
4.1 Paid Services
Certain Services are subject to fees. You agree to pay all applicable fees and taxes in accordance with the pricing in effect at the time of use.
4.2 Metered Usage
Usage may be metered based on runtime, executions, storage, actions, or other usage dimensions. Fees are non-refundable unless expressly stated otherwise.
4.3 Failure to Pay
Failure to pay may result in suspension or termination of access without notice.
5. Acceptable Use
You agree not to misuse the Services. You may not, directly or indirectly:
- Violate any applicable law or regulation
- Circumvent security, access controls, or governance mechanisms
- Deploy agents for surveillance, impersonation, or deceptive practices
- Use the Services to harm others or facilitate illegal activity
- Attempt to reverse engineer or interfere with the Services
- Introduce malicious code or conduct denial-of-service attacks
Hexel reserves the right to investigate and enforce violations, including immediate suspension.
6. Intellectual Property
6.1 Ownership of the Services
Hexel and its licensors retain all rights, title, and interest in the Services, including all intellectual property rights. No rights are granted except as expressly stated in these Terms.
6.2 Your Content
You retain ownership of data, Input, and content you submit ("Your Content").
By using the Services, you grant Hexel a worldwide, non-exclusive, royalty-free license to access, process, store, and transmit Your Content solely to provide, maintain, and secure the Services and to comply with legal obligations.
6.3 Feedback
Any feedback you provide becomes the exclusive property of Hexel and may be used without restriction or compensation.
7. Third-Party Services and Models
The Services may integrate with third-party services, software, or AI models ("Third-Party Services").
Hexel does not control and is not responsible for Third-Party Services. Your use of such services is subject to their respective terms and policies.
8. Confidentiality
Each party agrees to protect the other's confidential information and use it solely for purposes of these Terms, unless disclosure is required by law.
9. Security
Hexel implements reasonable administrative, technical, and organizational safeguards. However, no system is completely secure, and you acknowledge and accept inherent risks.
10. Suspension and Termination
Hexel may suspend or terminate access to the Services immediately if:
- These Terms are violated
- Use poses legal or security risk
- Required by law or government order
Upon termination, all licenses granted to you will cease.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEXEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
HEXEL DOES NOT WARRANT THAT:
- THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED
- OUTPUT WILL BE ACCURATE OR RELIABLE
- THE SERVICES WILL MEET YOUR REQUIREMENTS
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- HEXEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.
- HEXEL'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HEXEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Hexel and its affiliates from any claims arising out of:
- Your use of the Services
- Your agents or configurations
- Your violation of law or third-party rights
- Your Content
14. Export Controls
You agree to comply with all applicable export control and sanctions laws and represent that you are not located in, or acting on behalf of, a prohibited jurisdiction or party.
15. Arbitration and Class Action Waiver
15.1 Binding Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, except as expressly stated below.
15.2 Class Action Waiver
You agree that disputes will be resolved only on an individual basis and not as part of a class, collective, or representative action.
15.3 Exceptions
Claims for injunctive relief or intellectual property infringement may be brought in a court of competent jurisdiction.
16. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Arbitration or court proceedings shall take place in India.
17. Changes to These Terms
Hexel may modify these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance.
